| This is in furtherance to our letter dated the 20th December, 2020, enclosing the Notice and the Explanatory Statement, for seeking consent of the Members of theCompany through Postal Ballot by way of remote e-voting process for approving the following resolutions:<BR> 1)Issue and allotment up to an aggregate of 5,00,10,000 nos. of Warrants, convertible into equivalent nos. of Equity shares (i.e. one fully paid up Equity share upon conversion of every one Warrant held) of a face value of Rs. 5/- (Rupees Five) each of the Company ('Warrants'), at an exercise price of Rs 7/- (including a premium of Rs 2/-) per Equity share ('Exercise Price'),to specified Non-Promoters (Public), by way of passing a Special Resolution;<BR> 2)Appointment of Shri Dinesh Chander Gupta (DIN: 00840629) as a Director of the Company, by way of passing an Ordinary Resolution<BR> 3)Appointment of Shri Dinesh Chander Gupta (DIN: 00840629) as a Whole Time Director and CEO of the Company, by way of passing an Ordinary Resolution. | |
