| DALMIA BHARAT LTD.has informed BSE that the meeting of the Board of Directors of the Company is scheduled on 30/10/2018 ,inter alia, to consider and approve Pursuant to Regulation 29(1) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, this is to inform you that a meeting of the Board of Directors of the Company will be held on Tuesday, October 30, 2018 to consider and implement the Scheme of Arrangement and Amalgamation amongst Dalmia Bharat Limited ('DBL/the Company'), Dalmia Cement (Bharat) Limited ('DCBL') and Odisha Cement Limited ('ODCL') and their respective shareholders and creditors ('Scheme'). <BR> <BR> This is further informed that subject to the implementation of the above scheme, the Company or the merged entity (i.e. ODCL), shall hold the meeting of its Board of Directors on the same day i.e. October 30, 2018 to inter-alia consider and approve:-<BR> (i) the Standalone and Consolidated un-Audited Financial Results for the quarter and half-year ended September 30, 2018; and <BR> (ii) recommend the Final Dividend, if any, for the financial year ended March 31, 2018;<BR> | |
