| Pursuant to the Regulation 30 of the SEBI Listing Regulations, please find enclosed the Postal Ballot Notice dated July 18, 2024 together with the Explanatory Statement thereto, seeking approval of the Members of DCB Bank Limited ('the Bank') in respect of the Resolutions mentioned below, by means of electronic voting (remote e-voting) in compliance with the relevant circulars issued by the Ministry of Corporate Affairs ('MCA') and the Securities & Exchange Board of India ('SEBI') in this regard: 1: Appointment of Mr. Krishnan Sridhar Seshadri (DIN:10508808) as a Director of the Bank; and 2: Appointment of Mr. Krishnan Sridhar Seshadri (DIN:10508808) as Whole-time Director (Executive Director) of the Bank for a period of two (2) years, w.e.f. June 13, 2024 on the terms and conditions relating to the said appointment, including remuneration, as approved by the RBI. | |
