| In compliance of Regulation 30 of the SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015 (SEBI LODR), this is to inform you that Board of Directors of the Company at their meeting held today, considered and recommended to the Shareholders of the Company the candidature of Ms. Shailaja Chandra (DIN: 03320688 and aged 75 years) to be appointed as an Independent Director of the Company for a period of five years, not liable to retire by rotation, subject to approval of the shareholders of the Company. In terms of Regulations 17(1A) of SEBI LODR, the appointment of Ms. Shailaja Chandra will be effective from the date of approval of the Shareholders of the Company by way of special resolution.
