| The Company is undertaking the Buyback through the tender offer process, in accordance with the Companies Act, 2013, as amended ('Companies Act') and Securities and Exchange Board of India (Buy-Back of Securities) Regulations, 2018, as amended ('SEBI Buyback Regulations') and other applicable laws, if any. In this connection, pursuant to Regulation 7 of the SEBI Buyback Regulations, the Company has published a public announcement dated October 22, 2022 for the Buyback ('Public Announcement') on October 24, 2022, in the newspapers mentioned in the attached file. In this regard, we would like to submit the following documents: 1. A certified true copy of the board resolution passed by the directors of the Company approving the Buyback; 2. A copies of the Public Announcement that has been published in the aforesaid newspapers. | |
