| We wish to inform you that the requirements regarding Annual Secretarial Compliance Report under Regulation 24A of SEBI (Listing Obligations and Disclosure Requirements) (Amendment) Regulations, 2018 read with BSE Circular LIST/COMP/10/2019-20 Dated 9th May, 2019 is not applicable to our company. Further, we would like to clarify that our company is claiming exemption under Regulation 15(2) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 as Corporate Governance Provisions shall not apply to listed entities having paid up Equity share capital not exceeding Rs.10 Cores and net worth not exceeding Rs.25 Cores, as per the last audited balance sheet as at 31.03.2023. The paid-up equity share capital of the company is Rs.6,00,20,000 (Rupees Six Cores Twenty thousand only) and Net worth of the company as on 31st December, 2023 is Rs.11.44 Crores.
