| In terms of Regulation 30, read with Para 1,4 of Part A of Schedule III of the SEBI (Listing Obligations & Disclosure Requirements) Regulations,2015, please be informed that the members, by way of passing Special Resolutions, at their 37th Annual General Meeting of the Company held on 21st September, 2021 have:<BR> <BR> 1. Adopted new set of Articles of Association of the Company containing the Articles in conformity with the Companies Act, 2013.<BR> <BR> 2. substituted, subject to the approval of the Registrar of Companies (Ministry of Corporate Affairs), the existing Main Clause III (A)<BR> <BR> 3. deleted, subject to the approval of the Registrar of Companies (Ministry of Corporate Affairs), the existing Clause III (C) of the Memorandum of Association of Company having heading 'Other Objects'<BR> <BR> The amended set of the Memorandum of Association of Company and adopted new set of Articles of Association has been enclosed herewith for your reference.<BR> <BR> Kindly take the same on record.<BR> <BR> | |
