| This is further to our intimation dated April 28, 2023 on the Notice of Postal Ballot ('Notice') of Honeywell Automation India Limited ('the Company') dated April 27, 2023, along with the Statement pursuant to the applicable provisions of the Companies Act, 2013 read with the SEBI Listing Regulations, seeking approval of the Members of the Company on the following special business forming part of the Notice. Please find enclosed the following: 1) Voting results of the Postal Ballot activity through remote e-voting in relation to aforesaid business as required under Regulation 44(3) of the SEBI Listing Regulations. 2) Report of the Scrutinizer dated May 30, 2023, pursuant to Section 108 of the Companies Act, 2013 and Rule 20 of the Companies (Management and Administration) Rules, 2014. Based on the report of the Scrutinizer, we hereby inform that the Members of the Company have duly passed the above Resolution with requisite majority. | |
