The Company had filed an application for settlement before the SEBI under the SEBI (Settlement Proceedings) Regulations, 2018 in relation to a show cause notice dated 10 November 2020 (the &apos;Show Cause Notice&apos;) issued by the SEBI.&lt;BR&gt; The SEBI has accepted the Company&apos;s application for settlement of the adjudication proceeding initiated by the SEBI against the Company pursuant to the Show Cause Notice and issued the Settlement Order. The Company has paid an amount of INR 2,10,37,500 towards settlement of the aforesaid adjudication proceeding.&lt;BR&gt; The Settlement Order records that the Company&apos;s offer to settle was on the basis that the Company neither admits nor denies the violations alleged in the Show Cause Notice. These adjudication proceedings have now concluded. Further, there is no material financial impact on the Company due to the Settlement Order.&lt;BR&gt; Please treat this as a disclosure under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
