| Dear Sirs/Ma'am, In terms of the captioned regulations and in continuation to the disclosure made on February 10, 2022 w.r.t proposed acquisition of 25.10% stake in Carnation Hotels Private Limited, we would like to inform you that Finance Committee of Board of Directors of Lemon Tree Hotels Limited ('Company') at its meeting held on April 27, 2022 has approved the acquisition of 25.10% shareholding of Carnation Hotels Private Limited from Mr. Rattan Keswani and post the consummation of the transaction, Carnation Hotels Private Limited will become Wholly Owned Subsidiary of the Company. The details required under Regulation 30 of the SEBI Listing Regulations read with SEBI Circular No. CIR/CFD/CMD/4/2015 dated September 9, 2015 are given in Annexure A to this letter.
