We confirm that further to the postal ballot notice dated April 27, 2018 issued by the Company seeking shareholders' consent to enter into certain transactions, the shareholders have approved the resolutions with requisite majority. The scrutinizer's report dated June 13, 2018 on the voting results on the resolutions as mentioned in the postal ballot notice is attached at - Annexure A.<BR> The Company will shortly enter into the business transfer agreement, assignment agreement and ancillary agreements with relevant Merck group entities for transfer of all non-Consumer health businesses in India, and to ensure continuity of operations of all businesses during the transition period.<BR>
