In connection with the composite scheme of arrangement by and amongst Mangalore Chemicals & Fertilizers Limited ('Transferor Company'), Paradeep Phosphates Limited ('Transferee Company' or the 'Company') and their respective shareholders and creditors ('Scheme'), we hereby inform you that the board of directors of the Company at its meeting held today, i.e., 16th October, 2025, has, inter alia, taken on record that today, 16th October 2025, is the 'Effective Date 2' for giving effect to Part II of the Scheme which deals with the amalgamation of the Transferor Company with and into the Company with effect from the 'Appointed Date 2' (as defined under the Scheme), i.e., 01st April 2024, and other parts of the Scheme (other than Part III of the Scheme, which came into effect on October 13, 2025). Further, pursuant to the Scheme and Regulation 42 of the LODR Regulations, the board of directors of the Company have fixed Friday, 31st October 2025 as the 'Record Date'
