| With Reference to captioned subject and reference to BSE e-mail dated 13.05.2024, and in continuation of our earlier announcement regarding the resignation of Independent Director Mrs. Vineeta Loomba effective from 05.04.2024 pursuant to regulation 30 of SEBI (Listing Obligation & Disclosure Requirement) Regulations 2015.This is further submitting that the delay in filing the intimation to stock exchange is not intentional, the only reason is that the Company was in the intent to continue her as Independent director because it is not possible to find the right candidate urgently at such shorter notice and as management, no one wants to lose valuable employee who is an asset to the company. In relation to this, several conversation with board members took place to overcome the loss of resigning director and whom to appoint in place of her, the submission got delayed.
