In compliance with Regulation 30 of the SEBI (LODR) Regulations, 2015 and based on the recommendation of the Nomination & Remuneration Committee, the Board of Directors of the Company has, at its Meeting held on November 13, 2020, appointed Mr. Chemangala Ramachar Ramesh (DIN: 08876738) as an Additional Director of the Company and also designated him as a Whole-time Director, liable to retire by rotation, for a term of 3 years with effect from November 13, 2020, subject to approval of the Members at the ensuing Annual General Meeting.<BR> <BR> Further, as per the requirement of the Circular No. LIST/COMP/14/2018-19 dated June 20, 2018 issued by BSE Limited on the subject of enforcement of SEBI Orders regarding appointment of Directors by listed companies, we hereby confirm that Mr. Chemangala Ramachar Ramesh is not debarred from holding the office of Director by virtue of any order of SEBI or any other Authority.<BR> <BR> <BR> <BR>
