We wish to inform you that the share allotment and transfer committee of the company has approved the allotment of fresh unlisted 27315264, 10.75% cumulative redeemable non-convertible preference shares of Rs. 10/- each on private placement basis to Timex Group Luxury Watches B.V. the holding company against redemption of existing 15700000, 13.88% cumulative redeemable non-convertible preference shares of Rs.10/-each along with unpaid accumulated dividend reduced by tax deducted at source.
