| we hereby inform you that the Board of Directors at its Meeting held on 9th January, 2023 has approved the following matters: 1. The Scheme of Amalgamation. 2. The Appointment of Mr. Gopal Kumar Roy, Chief Financial Officer of the Company in terms of the provisions of Section 203 of the Companies Act, 2013 and Rule made there under with effect from 9th January, 2023. The Company has also been informed that the Board of Directors, at its Meeting held today, has approved the Draft Scheme, is enclosed herewith as Annexure-I. Further, the information pertaining to the Scheme and appointment of Mr. Gopal Kumar Roy, Chief Financial Officer of the Company as required under Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Circular No. CIR/CFD/CMD/4/2015 dated September 9, 2015, as amended from time to time, is enclosed herewith as Annexure-II and Annexure III respectively. | |
