Ansal Housing and Construction Ltd has informed BSE that the Board of Directors of the Company at its meeting held on August 14, 2014, have approved the following:<br/><br/>1. Postal Ballot Notice for seeking consent of the shareholders for the following matters;<br/><br/>a. To authorize the Board of Directors of the Company to borrow money from time to lime apart from temporary loans obtained or to be obtained from the Companys bankers in the ordinary course of business not exceeding Rs. 1000,00,00,000/- (Rupees One Thousand Crores only) under the provisions of Section 180 (1) (c) of the Companies Act, 2013.<br/><br/>b. To authorize the Board of Directors of the Company to sell, lease or otherwise dispose of the whole or substantially the whole of the undertaking(s) of the Company including creation of mortgages, charges or hypothecations on all the immovable and movable properties of the Company, both present and future, and/or conferring power to enter upon and to take possession of assets of the Company in certain events, to and in favour of Financial Institutions / Banks for securing the loans and other financial assistance obtained / to be obtained by the Company, under the provisions of section 180(1)(a) of the Companies Act, 2013.<br/><br/>c. To revise the remuneration of Mr. Karun Ansal, President (Projects) of the Company, under the provisions of section 188 and all other applicable provisions of the Companies Act, 2013.<br/><br/>d. To re-appoint Mrs. Neha Ansal as a Part-time Consultant (Business Advisory Services) under the provisions of section 188 and all other applicable provisions of the Companies Act, 2013.<br/><br/>2. Calendar of Events for Postal Ballot.<br/><br/>3. Shri. Abhishek Mittal, Practicing Company Secretary has been appointed as the scrutinizer for conduct of Postal Ballot process.<br/><br/>4. The result of the postal ballot will be declared on October 06, 2014 at the Registered Office of the Company at 15 UGF, Indra Prakash, 21 Barakhamba Road, New Delhi - 110001 at 3.00 P.M.<br/><br/>5. The Notice and form of Postal Ballot will be dispatched to the Exchange along with the Members on or before September 01, 2014.<br/><br/>Further, the Company has submitted a copy of Calendar of Events for Postal Ballot.
