ASM Technologies Ltd has informed BSE that the Board of Directors of the Company at its meeting held on May 26, 2015, inter alia, has transacted the following businesses:<BR><BR>1. Appointment of Mr. Narsingh Rathod as Chief Financial Officer and Key managerial person of the Company :<BR><BR>- The board approved the appointment of Mr. Narsingh Rathod as Chief Financial Officer and Key Managerial Person of the Company, vide Section 203 of the Companies Act 2013 and Clause 49 of Listing Agreement, with effect from May 26, 2015.<BR><BR>2. The Board has approved the following code pursuant to the requirements of PIT regulations 2015:<BR><BR>a. Code of Practices and Procedure for fair disclosure of Unpublished Price Sensitive Information (UPSI); and<BR><BR>b. Code of conduct to regulate, monitor and report trading by insiders.<BR><BR>Further, the company has also uploaded the Code of Practices and Procedures for fair disclosure of Unpublished Price Sensitive Information (UPSI) on its website at www.asmltd.com.
