Atlas Cycles (Haryana) Ltd has informed BSE that:&lt;BR&gt;&lt;BR&gt;&quot;In the Board Meeting held on September 07, 2015, the Board of Directors had resolved to change the Registered Office of the Company from the State of Haryana to the National Capital Territory of Delhi. It was also resolved to sell its Malanpur Unit in Madhya Pradesh as it is closed down for almost 1 year.&lt;BR&gt;&lt;BR&gt;The Company had resolved to pass special resolutions through the process of Postal Ballot as per provisions of Section 110 of the Companies Act, 2013 read with the Companies (Management and Administration) Rules, 2014.&lt;BR&gt;&lt;BR&gt;In the process, some minority shareholders of the Company had filed a petition before the Company Law Board and Civil Court of Sonepat, Haryana requiring restraint on shifting of registered office of the Company from the State of Haryana to National Capital Territory of Delhi.&lt;BR&gt;&lt;BR&gt;In the proceedings pending before the Hon&apos;ble Company Law Board being CP No.18 of 2015, titled Vikram Kapur &amp; Anr. vs. Atlas Cycles (Haryana) Ltd &amp; Ors., the Honble Company Law Board vide its order dated November 04, 2015 has specifically directed that no further steps shall be taken with respect to shifting of registered office. Accordingly, in deference to the orders passed by the Hon&apos;ble Company Law Board, no further action is being taken in pursuance of the postal ballot process.&quot;
