1. Approved the audited financial results [consolidated] for the quarter / year ended on March 31, 2020 of the Company. 2. Issuance of upto 55 (Fifty-Five Only) Unsecured Unlisted Non-Convertible Debentures Series -III ('NCDs') of the Company of face value of INR 1,00,00,000/- (Rupees One Crore Only) each, at par aggregating up to INR 55,00,00,000 (Rupees Fifty-five Crore Only), in accordance with approved resolution plan on private placement basis. 3. upon recommendation of the Audit Committee, appointed M/s. Batliboi & Purohit, Chartered Accountants (Firm''s Registration No. 101048W), statutory auditors of the Company for the term of 5 (five) years from the conclusion of the Seventy-Fifth Annual General Meeting till conclusion of Eightieth Annual General Meeting to be held in the year 2025, subject to the approval of shareholders of the Company;
