Goodricke Group Ltd has informed BSE that the Board of Directors of the Company at its meeting held on May 23, 2016, inter alia:<BR><BR>1. The Board has recommended the appointment of M/s. Deloitte Haskins & Sells LLP Chartered Accountants, Kolkata as the Statutory Auditors of the Company for the financial year 2016-17 on the recommendation of the Audit Committee subject to approval by the Members at the Annual General Meeting to be held July 28, 2016.<BR><BR>2. The Board has recommended alteration in the existing Articles of Association of the Company by adopting a new Article in Table F, Schedule I of the Companies Act 2013 in entire exclusion of the Regulations contained in the existing Articles of Association of the Company subject to approval by the members in the Annual General Meeting to be held on July 28, 2016.<BR><BR>The meeting of Board of Directors commenced at 4:00 pm and Concluded at 6:00 pm.
