| With reference to the earlier letter dated August 11 & 24, 2015, Jain Irrigation Systems Ltd has now informed BSE that the Postal Ballot Committee has met on August 26, 2015 and has finalized the following :<BR><BR>1. Postal Ballot Form and instructions related to voting on the Postal Ballot and thru e-voting (as per Rule 20 applicable to matters covered by Rule 22(16). matters to be transacted thru Postal Ballot) and instructions related thereto.<BR><BR>2. The Notice u/s 110 of the Companies Act. 2013 the Explanatory Statement as per Section 102 (1) of the Companies Act, 2013 for seeking Shareholder approval for sale of Indian Food business to its affective Wholly Owned Subsidiary Jain Farm Fresh Foods Ltd. (JFFFL).<BR><BR>3. The Committee has appointed Mr. Aaron Solomon, Partner of Solomon & Company Solicitors at Calcot House. 3rd Floor, 8/10, M P Shetty Marg, (Tamarind Street) For, Mumbai-400023 as scrutinizer for conducting the Postal Ballot in a fair and transparent manner and in accordance with the provisions of the Act and Rules made thereunder. | |
