K M Sugar Mills Ltd has informed BSE that in terms of the requirement of section u/s 149 (1) of the Companies Act, 2013 read with RR 3(i) of the Companies (Appointment and Qualification of Directors) Rules 2014 and clause 49(II)(A)(i) of the Listing Agreement with the Stock Exchange /(s), the Company is required to appoint one Woman Director on its Board.<BR><BR>In compliance to said provision, it is proposed to seek approval of the Board for appointment of Mrs. Shruti Modi as the Additional (Woman) Director on the Board of the Company by passing resolution by circulation.<BR><BR>Accordingly a resolution is being sent to the Board of Directors to be passed by circulation for appointment of an Additional (woman) Director on its Board.
