| Kalindee Rail Nirman (Engineers) Ltd has informed BSE that pursuant to a request from Texmaco Rail and Engineering Limited (Texmaco), the largest Shareholder of the Company, to appoint certain Additional Directors in the Company, the Company has appointed the following persons as Additional Directors in its Board meeting held on August 31, 2015, as the nominees of Texmaco:<BR><BR>1. Shri Varun Bharthuar <BR><BR>2. Shri Dulal Chandra Mitra<BR><BR>3. Shri Pervesh Kumar Gandhi and<BR><BR>4. Shri Vikram Singhal<BR><BR>The appointment of such Additional Directors by the Board of Directors of the Company shall further be ratified by its Shareholders in the ensuing Annual General Meeting.<BR><BR>While appropriate additional information in relation to such appointments will be provided to the Shareholders of the Company in the notice and explanatory statement for the ensuing Annual General Meeting, it is hereby informed that with such appointment of the aforesaid Additional Directors by the Company as the nominee Directors of Texmaco, the Company has become a subsidiary of Texmaco with immediate effect, by virtue of Texmaco now having majority of directors in the Board of Directors of the Company. | |
