| Kalindee Rail Nirman (Engineers) Ltd has informed BSE that :<BR><BR>"In terms of order dated May 25, 2015 of the High Court of Delhi at New Delhi, a court convened meeting of the Company is being held on July 11, 2015 in regard to the Scheme of Amalgamation between the Company, Texmaco Rail & Engineering Limited and their respective shareholders and creditors. Further, in accordance with the provisions of Circular No. CIR/CFD/DIL/5/2013 dated February 04, 2013 issued by the Securities and Exchange Board of India as amended vide Circular No. CIR/CFD/DIL/8/2013 dated May 21, 2013, the Company is also procuring the approval of the public shareholders of the Company separately through a postal ballot and e-voting process.<BR><BR>The Company has on June 10, 2015, completed the dispatch of notice of postal ballot/e-voting, along with relevant documents, to the public shareholders of the Company. The period for voting both for Postal Ballot and a-voting has already commenced on June 11, 2015 at 00:00 hours and will end on July 10, 2015 at 17:00 hours. The Company is in the process of printing and dispatching the notice for the aforesaid court convened meeting, along with relevant documents, to all its shareholders." | |
