Kennametal India Ltd has informed BSE that the Board of Directors of the Company at its meeting held on May 05, 2015, inter alia:<BR><BR>1. Accepted the resignation of Mr. Gerald Goubau as Director of the Company with effect from May 05, 2015.<BR><BR>2. Co-opted Mr. David Lee in the casual vacancy caused due to the resignation of Mr. Gerald Goubau.<BR><BR>3. Considered and approved revised Code of Internal Procedures and Conduct for Regulating, Monitoring and Reporting of Trading by Employees and other Connected Persons under the Securities and Exchange Board of India (Prevention of Insider Trading) Regulations, 2015.<BR><BR>4. Considered and approved the Code of Conduct for Fair Disclosure of Unpublished Price Sensitive Information, under the Securities and Exchange Board of India (Prevention of Insider Trading) Regulations, 2015.
