Kirloskar Industries Ltd - Outcome of Board Meeting

Kirloskar Industries Ltd has informed BSE that the Board of Directors of the Company at its meeting held on July 18, 2014, inter alia, transacted the following:<br/><br/>1. a. Mr. A. R. Sathe, Director of the Company, has tendered his resignation with effect from July 17, 2014.<br/><br/>1. b. Based on the recommendations of the Nomination and Remuneration Committee, Mr. Vijay Shirke and Mrs. Priyamvada Ranade and have been co-opted as Additional Independent Directors of the Company with effect from July 18, 2014.<br/><br/>2. Based on the recommendations of the Nomination and Remuneration Committee, pursuant to the provisions of Section 203 and other applicable provisions and rules of the Companies Act, 2013, the Board of Directors of the Company;<br/><br/>i. has approved the change in designation of Ms. Aditi Chirmule from 'Executive Director and Company Secretary' to 'Executive Director' with effect from July 18, 2014;<br/><br/>ii. has approved the change in designation of Mrs. Jasvandi Deosthale from 'Head-Finance' to 'Chief Financial Officer with effect from July 18, 2014;<br/><br/>iii. has appointed Mrs. Ashwini Mali, Assistant Company Secretary and Compliance Officer, as the Company Secretary and Compliance Officer with effect from July 18, 2014.<br/><br/>iv. has approved the appointment of the following as the Whole time Key Managerial Personnel of the Company with effect from July 18, 2014;<br/><br/>- Ms. Aditi Chirmule, Executive Director <br/>- Mrs. Jasvandi Deosthale, Chief Financial Officer<br/>- Mrs. Ashwini Mali, Company Secretary and Compliance Officer<br/><br/>3. Mr. Mahesh Risbud, Company Secretary in Practice, was appointed as the scrutinizer for the E-voting at the forthcoming Annual General Meeting.<br/><br/>4. The Company has developed a new website www.kil.net.in., the same can also be accessed on www.kirloskar.com.
