Next Mediaworks Ltd has informed BSE that the Board of Directors of the Company at its meeting held on February 17, 2015, has considered the following resolution:<BR><BR>1. To Increase the Authorized Share Capital of the Company.<BR><BR>2. Alteration of Capital clause of the Memorandum and Article of Association of the Company.<BR><BR>3. Approve the enabling resolution for the purpose of raising funds of upto Rs. 30 crores by issue of securities.<BR><BR>The Board of Directors of the Company has approved Postal Ballot to be conducted in accordance with the provisions of Section 110 of the Companies Act, 2013 read with the Companies (Management and Administration), Rules, 2014 for above mentioned resolutions for approval of the Members of the Company.
