| Punjab Chemicals and Crop Protection Ltd has informed BSE that the Board of Directors of the Company at its meeting held on August 07, 2014, inter alia, has considered and approved the following:<br/><br/>1. Reconstitution of the Audit Committee of the Company.<br/><br/>2. Re-appointment of Shri. Shalil Shroff, Managing Director of the Company from January 15, 2015 to January 14, 2018 and fixation of his remuneration, subject to the approval of the Members of the Company at the ensuing Annual General Meeting and other required approvals.<br/><br/>3. Re-appointment of Shri. Avtar Singh, Whole Time Director of the Company from November 14, 2012 to November 13, 2017 in accordance with the provisions of the Companies Act, 2013 and fixation of his remuneration subject to the approval of the Members of the Company at the ensuing Annual General Meeting and other required approvals. The re-appointment shall be in continuation to the earlier approvals obtained under the Companies Act, 1956.<br/><br/>4. Alteration in few articles of Articles of Association of the Company in pursuance of the Companies Act, 2013.<br/><br/>5. Approval of the borrowing limits of the Company pursuant to Section 180 (1) (C) and creation of security under section 180 (1) (a) of the Companies Act, 2013.<br/><br/>6. Revision in the notice of the Annual General Meeting of the Company to be held on September 23, 2014.<br/><br/>7. Approval for sale of 20% stake of investment in Source Dynamic LLC, USA by SD Agchem (Europe) NV, a Wholly owned Subsidiary of the Company. | |
