Shivalik Bimetal Controls Ltd has informed BSE that a meeting of the Board of Directors of the Company will be held on May 08, 2015, inter alia, to transact the following:&lt;BR&gt;&lt;BR&gt;1. To consider and approve Audited Financial Results for the Quarter / Financial Year ended on March 31, 2015 and to consider the Audit Report by the Statutory Auditors.&lt;BR&gt;&lt;BR&gt;2. To Consider and review Related Party Transactions entered into by the Company for the F.Y. 2014-15 and estimates for the F.Y. 2015-16.&lt;BR&gt;&lt;BR&gt;3. To Review the Status &amp; Progress of various aspects of operations of the Company comprising technical, Manufacturing, Financial, Marketing/Sales &amp; Administration &amp; others;&lt;BR&gt;&lt;BR&gt;4. To Consider and appoint Secretarial Auditor to conduct Secretarial Audit for the F.Y. 2014-15 in pursuance of Section 204 of the Companies Act, 2013 read with Companies (Appointment and Remuneration of Managerial Personnel) Rules, 2014 and other applicable provisions.&lt;BR&gt;&lt;BR&gt;5. To Consider and approve Corporate Social Responsibility Policy and formation of Corporate Social Responsibility Committee pursuant to Section 135 of the Companies Act, 2013 read with Companies (Corporate Social Responsibility Policy) Rules, 2014 and other applicable provisions.&lt;BR&gt;&lt;BR&gt;6. Disclosure of Interest by Directors pursuant to Section 184 of the Companies Act, 2013 read with Companies (Meetings of Board and its Powers) Rules, 2014 and other applicable provisions.&lt;BR&gt;&lt;BR&gt;7. To Consider and approve Code of internal procedures and conduct for regulating, monitoring and reporting of trading by insiders in pursuance of Securities and Exchange Board of India (Prohibition of insider Trading) Regulations, 2015 and other applicable provisions.&lt;BR&gt;&lt;BR&gt;8. To Consider and review the various aspects of operations of the Company, futuristically.
