We wish to inform you that pursuant to Regulation 30 of SEBI (Listing Obligations and disclosure Requirements) regulations, 2015 and Section 161 (3) of the Companies Act, 2013 read with Companies (Appointment of Directors) rules, 2014 and Article 69 of the Articles of association of the company, the Board of Directors by circulation on 15th May, 2017 and on the recommendation of Nomination and remuneration Committee appointed Mr. Surender Singh (DIN No. 07821680), General Manager Inspection, Oriental Bank of Commerce as a Nominee Director of the Company . We would like to further state that the appointment of Mr.Surender Singh is in terms of CDR Agreement entered into with the bankers on 27th August, 2014. Mr.Singh will be a Non-executive Director Nominee of the CDR Lender bank and he is not related to any of the existing directors of the company.
