Sun Pharmaceutical Industries Ltd has informed BSE that the Board of Directors of the Company at its meeting held on November 13, 2014, inter alia, has passed the resolution approving, subject to the approval of SEBI, Stock Exchanges, the High Court of Gujarat at Ahmedabad, Shareholders and Creditors of the Company and other required governmental and/or regulatory authorities, as may be applicable and required, the Scheme of Amalgamation under sections 391 to 394 of the companies Act, 1956 for Merger of Sun Pharma Global Inc, a wholly owned foreign subsidiary of the Company, into the Company, Sun Pharmaceutical Industries Ltd without any consideration with effect January 01, 2015 as per the draft Scheme of Amalgamation.
