| Vintron Informatics Ltd has informed BSE that :<br/><br/>- In terms of the provisions of the Companies Act, 2013 along with rules framed there under which came into force with effect from April 01, 2014 and the provisions of Listing agreement, the concept of e-Voting has been introduced and implemented under the provisions of Section 108 and Rule 20 of the Companies (Management and Administration) Rules, 2014 for, all listed Companies. Accordingly, before issuance of notice calling AGM, few formalities were required to be fulfilled to give effect to the provisions of e-voting by the Company with the NSDL/CDSL as well as with the share transfer agent and shareholders of the Company. The Company is in the process of making arrangement with the NSDL/CDSL and the share transfer agent for making necessary compliances to enable the shareholders for e-voting, which is likely to take some more days, it is imperative to extend the date of AGM to comply with the requirements of 25 days advance notice for AGM.<br/><br/>In view of the above, the Board of Directors has passed a resolution by circulation and the 23rd Annual General Meeting has been postponed and the same shall be held on September 29, 2014 at the same time and venue. There is no change in the date(s) of the Closure of Register of Members and share transfer books. | |
